(d) use the Services for any purpose other than to receive information regarding GPV and its research, procedures, products and services;
(e) interfere with the proper working of the Services;
(f) transmit or submit any transmission or other materials that contain viruses, Trojan horses, worms, time bombs, spiders, cancelbots or other computer programming routines that is likely or intended to damage, interfere with, disrupt, impair, disable or otherwise overburden the Services;
(g) access, download, monitor, or copy any information contained on our Services through artificial means (including but not limited to use any ‘deep-link’, ‘scraper’, ‘robot’, ‘spider’ or other automatic device, program, algorithm or methodology, or any similar or equivalent automatic or manual process), or in any way reproduce or circumvent the navigational structure or presentation of the Services or any content, to obtain or attempt to obtain any Content, materials, documents or information through any means not purposely made available through the Services; or
(h) probe, scan or test the vulnerability of the Services or any network connected to the Services, nor breach the security or authentication measures on or of the Services or any network connected to the Services. You may not reverse look-up, trace or seek to trace any information on any other user of the Services to its source, or exploit the Services or any service or information made available or offered by or through the Services, in any way where the purpose is to reveal any information, except as expressly authorized by GPV and provided for by the Terms of Use.
A violation of any of the foregoing is grounds for termination of your right to use or access the Services.
INTELLECTUAL PROPERTY RIGHTS
The Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, and music (the “GPV Content”), and all intellectual property rights related thereto, are the exclusive property of GPV and its licensors. Except as explicitly provided herein, nothing in these Terms of Use will be deemed to create a license in or under any such intellectual property rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any GPV Content. Use of the GPV Content for any purpose not expressly permitted by these Terms of Use is strictly prohibited.
“GPV,” and other Services graphics, logos, designs, page headers, button icons, scripts, and service names are the trademarks or trade dress of GPV or its licensor’s in the U.S. and/or other countries (collectively, the “Marks”). The GPV Marks may not be used in connection with any product or service without the prior written consent of GPV. You may not use the GPV Marks in connection with any product or service in any manner that is likely to cause confusion or create the impression that GPV endorses any product or service.
Termination
GPV may terminate your use of the Services at any time and for any reason, including for conduct violating these Terms. Upon any such termination, you must destroy all content obtained from the Services and all copies thereof. Furthermore, you acknowledge that GPV reserves the right to take action – technical, legal or otherwise – to block your ability to access the Services. You understand that GPV may exercise this right in its sole discretion and this right shall be in addition to any other rights and remedies available to GPV.
All provisions of these Terms which by their nature should survive termination shall survive the termination of your access to the Services, including provision regarding ownership, warranty disclaimers, indemnity, and limitations of liability.
DISCLAIMER
ANY USE OF THE SERVICES, INCLUDING ANY RELIANCE UPON OR USE OF ANY OF THE INFORMATION THEREIN, SHALL BE AT YOUR SOLE RISK. ALL CONTENT CONTAINED WITHIN THE SERVICES IS PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, GPV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. GPV MAKES NO WARRANTY AS TO THE ACCURACY, USEFULNESS, CURRENCY, COMPLETENESS OR AVAILABILITY OF ANY INFORMATION TRANSMITTED OR MADE AVAILABLE VIA THIS WEBSITE, AND SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY ERROR OR OMISSIONS IN THAT INFORMATION. YOU ARE RESPONSIBLE FOR VERIFYING ANY INFORMATION BEFORE RELYING ON IT. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
LIMITATION OF LIABILITY
IN NO EVENT SHALL GPV OR ANY OF ITS LICENSORS OR INFORMATION PROVIDERS HAVE ANY LIABILITY IN CONNECTION WITH THE SERVICES OR ANY INFORMATION PRESENTED IN THE SERVICES FOR ANY SPECIAL, PUNITIVE, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES OR FOR LOSS OF PROFITS, REVENUE, USE, OR DATA, IN EACH CASE ARISING UNDER ANY THEORY, INCLUDING UNDER WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHER THEORY, EVEN IF SUCH GPV IS AWARE OF OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
GPV’S AGGREGATE LIABILITY TO YOU OR TO ANY THIRD PARTY CLAIMING THROUGH YOU IN CONNECTION WITH THE USE OF THE SERVICES IS LIMITED TO TWO HUNDRED AND FIFTY DOLLARS ($250).
INDEMNIFICATION
You hereby agree to indemnify, defend, and hold harmless GPV, its directors, officers, employees, agents, licensors, attorneys, independent contractors, providers, subsidiaries, and affiliates, from and against any and all claim, loss, expense or demand of liability, including attorneys’ fees and costs incurred, in connection with your violation of these Terms of Use or your use of or inability to use the Services. GPV reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification. You will not, in any event, settle any claim or matter without the written consent of GPV.
ARBITRATION AND CLASS ACTION WAIVER
Informal Process First. You agree that in the event of any dispute between you and the GPV Entities, you will first contact GPV and make a good faith sustained effort to resolve the dispute before resorting to more formal means of resolution, including without limitation, any court action.
Arbitration Agreement and Class Action Waiver. After the informal dispute resolution process, any remaining dispute, controversy, or claim (collectively, “Claim”) relating in any way to your use of GPV’s services and/or products, including the Services, will be resolved by arbitration. You and the GPV agree that any Claim will be settled by final and binding arbitration, using the English language, administered by JAMS under its Comprehensive Arbitration Rules and Procedures (the “JAMS Rules”) then in effect (those rules are deemed to be incorporated by reference into this section, and as of the date of these Terms). Arbitration will be handled by a sole arbitrator in accordance with the JAMS Rules. Judgment on the arbitration award may be entered in any court that has jurisdiction. Any arbitration under the Terms will take place on an individual basis – class arbitrations and class actions are not permitted. You understand that by agreeing to the Terms, you and GPV are each waiving the right to trial by jury or to participate in a class action or class arbitration. Notwithstanding the foregoing, you and GPV will have the right to bring an action in a court of proper jurisdiction for injunctive or other equitable or conservatory relief, pending a final decision by the arbitrator. You may instead assert your claim in “small claims” court, but only if your claim qualifies, your claim remains in such court and your claim remains on an individual, non-representative and non-class basis.
Costs of Arbitration. Payment for any and all reasonable JAMS filing, administrative and arbitrator fees will be in accordance with the JAMS Rules. If the value of your claim does not exceed $10,000, GPV will pay for the reasonable filing, administrative and arbitrator fees associated with the arbitration, unless the arbitrator finds that either the substance of your claim or the relief sought was frivolous or brought for an improper purpose.
Opt-Out. You have the right to opt-out and not be bound by the arbitration provisions set forth in these Terms by sending written notice of your decision to opt-out to privacy@gpv.com or to GreatPoint Ventures, 744 Montgomery St, Suite 500, San Francisco, CA 94111, Attention: Operations Director. The notice must be sent to GPV within thirty (30) days of your registering to use the Services or agreeing to these Terms, otherwise you shall be bound to arbitrate disputes in accordance with these Terms of those sections. If you opt-out of these arbitration provisions, GPV also will not be bound by them.
USE OUTSIDE OF THE UNITED STATES
GPV controls and operates the Services in the United States. GPV makes no representation that contents in the Services may be downloaded, viewed or are appropriate for use outside the United States. If you access or otherwise use the Services or its content from outside of the United States, you do so at your own risk. Whether inside or outside of the United States, you are solely responsible for ensuring compliance with the laws of your specific jurisdiction.
NOTICE
By use of the Services, you consent to receive electronic communications from GPV (via a posting on the Services), and you agree that any such communications satisfy any legal requirement to make such communications in writing. You also agree that GPV may communicate any notices to you under these Terms of Use through electronic mail, regular mail or posting the notices on the Services. All notices to GPV must be provided by either sending: (i) an email to privacy@gpv.com; or (ii) a letter, first class certified mail, to GreatPoint Ventures, 744 Montgomery St, Suite 500, San Francisco, CA 94111, Attention: Operations Director. Such notices will be deemed delivered upon receipt.
ENTIRE AGREEMENT
These Terms of Use and other agreements, rules, and policies incorporated by reference to this Terms including the Privacy Policy, constitutes the entire agreement between you and GPV. It supersedes any prior or contemporaneous negotiations, discussions or agreements, whether written or oral, between you and GPV regarding the subject matter contained in these Terms of Use. Additional terms and conditions may exist between you and third parties. You represent and warrant that those third party agreements do not interfere with your obligations and duties to GPV under these Terms of Use. No modification of these Terms of Use will be effective unless authorized by GPV.
MISCELLANEOUS
If you breach any term of these Terms or other agreement with GPV, GPV may pursue any legal or equitable remedy available, including but not limited to, direct, consequential, and punitive damages and injunctive relief. GPV’s remedies are cumulative and not exclusive. Failure of GPV to exercise any remedy or enforce any portion of the Terms at any time shall not operate as a waiver of any remedy or of the right to enforce any portion of the Agreement at any time thereafter. If any provision of the Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable. These Terms are not assignable, transferable or sublicensable by you except with GPV’s prior written consent. We may transfer, assign or delegate the Terms and its rights and obligations without consent. Users of this Services are responsible for compliance with all applicable regulations and laws. No joint venture, partnership, employment or agency relationship exists between you and GPV as a result of these Terms of Use or use of the Services.
